SERVICE AGREEMENT
服务协议
The main purpose of the present agreement is to regulate the services provided by hooli, an internet platform whose main purpose is to provide several type of services, including but not limited to services for overseas property rental mainly to students (and/or other individuals) willing to relocate abroad.
为规范hooli所提供的服务，特此制定本协议。hooli作为互联网平台，致力于为有意愿移民海外的学生（和/或其他个人）提供海外房产租赁等多种类型的服务。
The aforementioned students and/or individuals (hereinafter referred to as the “Users”) shall fully agree to the terms and the conditions (hereinafter referred to as the “Terms”) established in the present agreement, and for this reason it is the responsibility of the User to carefully read the Terms.
上述学生和/或个人（以下简称“用户”）应完全同意本协议所订立的条款和条件（以下简称“条款”），为此，请用户务必仔细阅读本协议条款。
By clicking the “Agree” button, the User gives their consent to the terms of the service, and grants to Hooly the right to make any modifications to the Terms at any time.
用户通过点击“同意”按钮来确认同意本服务条款，同时授予hooli随时对本条款进行任何修订的权利。
TERMS
服务条款
1. hooli provides services to Users willing to relocate abroad to buy or rent real estate properties.
1. hooli为有意愿移民海外购买或租赁房产的用户提供服务。
2. The services provided by hooli shall consist in the listing of real estate properties for the purpose of renting or purchasing them; additionally, hooli shall provide a booking service for the real estate properties in which the User is interested, as well as a payment service for the transfer of the whole amount of the Rental Fee (including the Deposit).
2. hooli所提供的服务应列入将要出租或购买房产的清单中; 另，hooli应为用户感兴趣的房产提供预订服务，以及全部租金费用（包括定金）转账的付款服务。
3. The User shall be responsible for the accuracy of the information provided to hooli: should the information provided by the User turn to be false, hooli shall be hold harmless and will not be considered responsible for any following legal consequence. The information provided by the User shall be managed by hooli in accordance with the Privacy Statement attached below.
3. 用户应对其向hooli所提供信息的准确性负责，hooli将不会对因用户所提供信息的不真实而造成的任何法律后果承担责任。用户所提供的信息应由hooli根据下文中的“隐私声明”进行管理。
4. hooli reserves the right to unilaterally suspend or terminate the services without notice if the User provides false information or violates the Terms.
4.如用户提供虚假信息或违反条款规定，则hooli有权在不通知用户的情况下自行暂停或终止本服务。
5. hooli shall not bear any responsibility in case of interruption to the online services provided: however, hooli will put its best effort to provide the Users with a prior notice related to any maintenance of the internet platform and its related services.
5. hooli将根据需要对网络平台及其相关服务进行维护，并尽可能预先通知用户，故hooli对维护中的在线服务中断不承担任何责任。
6. hooli represents and warrants that all property information provided is accurate to the best of its knowledge: however, hooli does not accept any responsibility and liability for the accuracy of the information provided.
6. hooli声明并保证向用户提供正确的尽其所知的房产信息，但hooli对所提供信息的准确性不承担任何责任和义务。
7. hooli shall have the right to modify the Terms at any moment on the basis of any change which may affect the internet, the laws and regulations of the People’s Republic of China as well as those of international law. Should there be any modification to the Terms, the User will not be notified but the Terms will be updated: it is responsibility of the User to keep themselves informed about any modification made to the Terms. In case of contrast between the Terms of the present agreement and future amended Terms, the latest version of the Terms shall prevail.
7. hooli有权对不符合互联网、中华人民共和国法律和法规以及相关国际法规定的条款随时进行修订。 如对条款进行任何修订，恕不另行通知。用户应时刻关注对条款进行的任何修订。如本协议的条款与未来修订的条款不符，则以本条款的最新版本为准。
LIABILITY
责任与义务
1. hooli shall be hold harmless and shall not bear any liability for comments made on the internet platform; in particular, hooli represents and warrants that the comments made by the User do not correspond to the opinions of hooli, but only to those of their author.
1. hooli对互联网平台上发表的评论不承担任何责任。 特别地，hooli声明并保证用户的意见仅代表其个人意见并不代表hooli意见。
2. hooli reserves the right to take appropriate action in case of offensive, insulting or inappropriate language.

3. User shall not copy any text, audio or video from hooli’s internet platform, as this represents an infringement of the intellectual property rights of their authors. If the User believes that any material uploaded on the internet platform infringes their intellectual property right or the intellectual property right of any other third party, then the User has the right to contact and inform hooli, and to provide adequate evidences in support of their claim. In particular, hooli represents and warrants that it respects the rights of users and third parties with regard to any intellectual property right, and it reserves the right to take all necessary legal actions against those who infringe on these rights.
3. 用户不应复制hooli互联网平台上的任何文字、音频或视频，以免构成对作者知识产权的侵犯。 如用户认为hooli上传到互联网平台上的任何资料侵犯了其知识产权或任何其他第三方的知识产权，则用户有权联系hooli并提供足够证据支持其索赔。 特别地，hooli声明并保证尊重用户和第三方的任何知识产权，并有权对侵权行为采取一切必要的法律行动。
4. hooli shall comply with the requirements established by the Chinese law and regulations, and it shall comply with any request made by the law or any public agency regarding the disclosure of the User’s personal data.
4. hooli应符合中国法律、法规规定的要求，并应符合法律或者公共机构对用户个人资料披露的要求。
5. hooli simply acts as an intermediary between the User and the owners of the property (hereinafter, the “Landlord”), and it is not responsible for any change in the booking or cancellation policy of each property listed, as such policies exclusively depend on the Landlord.
5. hooli仅为用户与房产所有者（以下简称“业主”）的中间人，对于所列房产的预订或取消条款的任何修订均不承担任何责任，因这些条款完全基于业主。
6. hooli will not take any responsibility for the infringement of the User’s right to privacy, if such an infringement is caused by the User’s free choice to share their personal information with other parties, including but not limited to sharing passwords and any other personal information with third-party websites.
6. 如用户自行选择与其他方分享个人信息，包括但不限于向第三方网站共享密码和任何其它个人信息，此种情况下， hooli不承担用户隐私权的侵权责任。
PAYMENTS
付款事宜
1. The user shall agree that hooli will pay the deposit and the whole amount of the rental fee on behalf of the user.
用户同意hooli代支付押金及全部租金费用。
2. All services provided by hooli shall be free of charge. No included application fees, intermediary fees or exchange fees.
hooli提供的服务不收取任何费用，包括手续费/中介费/换汇费。
3. The amount of Rent and of Deposit due for the entire Rental Period shall be established by the Landlord.
整个租赁期间的租金和定金应由业主决定。
4. Cancellation and refund policy in respect of the Rent shall be subject to the provisions set forth in the Rental Agreement concluded between the Landlord and the User.
租金取消和退还条款应符合业主与用户签订的租赁协议中的规定条款。
5. Cancellation and refund policy shall be subject to the terms and conditions established by landlords in the rental agreement. However, in the absence of a Rental Agreement, cancellation and refund policy shall be subject to the terms and conditions established by hooli.
在有租赁协议的情况下，取消和退款条款应遵守业主条款和条件。在没有租赁协议的情况下，取消和退款条款应遵守hooli条款和条件。
6. Please note that hooli will cooperate with institutions authorized by relevant government agencies to complete cross-border payment for users, and the exchange rate will be determined in accordance with the real-time exchange rate of CITIC bank. When the user opens the payment page, from the time the payment page opens the exchange rate will be set for 15 minutes before refreshing, and so on.
敬请注意，hooli会与相关政府机构授权之有资质的机构合作为用户完成跨境支付，汇率将按照中信银行实时更新的汇率换算。用户在开启支付页面时，该汇率将从在支付页面开启时起算，锁定15分钟，以此类推。

1.The present statement has the main purpose to regulate the way in which hooli treats the User’s personal information, and it shall be effective for all the services provided by hooli.

PRIVACY DISCLAIMER

hooli shall not be considered legally responsible for sharing the User’s personal information with public authorities or other third parties, if this is required by law. hooli shall not be legally responsible if the User’s personal information has been made public as a result of the User’s personal decision and/or authorization to do so. hooli reserves the right to disclose the User’s personal information also in case of force majeure events.
如因法律要求，hooli将不对与公共部门或其它第三方披露用户个人信息而承担法律责任。 如因用户的个人决定和/或授权个人信息而被公开，则hooli不承担法律责任。 hooli保留在不可抗力事件发生时披露用户个人信息的权利。
Apart from the circumstances mentioned above, hooli guarantees that it will not disclose the User’s personal information to any third party and/or to any other user.
